Land Development
Grande Valley Development Corporation specializes in the acquisition of natural or unimproved land with the intent to
improve it with utility connections, roads, earth grading, covenants, and entitlements (horizontal improvements). We excel
in the creation of covenants defining the context in which future development of built improvements may take place (e.g. deed
restrictions, special-use permits, entitlements, etc.).
Entitlements (legal permissions) are secured from the appropriate regulatory bodies typically
in the form of permits, re-zoning or planned unit developments. Once improvements have been made to the raw land, GVDC
oftentimes subdivides and sells piecemeal to individuals or other building developers.
In some instances, infrastructure improvement provides a base for GVDC to further develop built improvements
via their design and build expertise (see Building Development below).
Building
Development Grande Valley Development Corp acquires raw
land, improved land, and/or redevelopable property in order to construct building projects. The buildings are then sold entirely
or in part to others, or retained as assets to produce cash flow via rents and other means. GVDC has its own internal
department for designing and constructing buildings; however, in some cases, these functions are subcontracted to established

Grande Valley Development Corp is
an Arizona corporation located in Chandler, Arizona with a branch office in Bisbee, Arizona (Cochise County). GVDC
maintains low overhead by subcontracting specialized services rather than adding permanently to our own very capable staff.
By utilizing our network of world-class consultants and
subcontractors, we enjoy the benefits of the resources of a large organization while retaining the agility and independence
of a small one. This strategy gives us access to
a wide range of specialized resources that can reshape and change members according to the project or task at hand. Coordinating
this activity is a hand-picked team of six highly-motivated individuals dedicated to creativity and high-productivity.
Development Team
Scott
W. Ries President /CEO
Mr. Ries brings many years of experience in
real estate development, as well as flying and aircraft ownership to the project. He has been licensed as a general building
contractor in the State of Arizona for both commercial and residential construction. He has built over 40 aviation projects,
valued in excess of fifty million dollars and over 100 commercial projects, valued in excess of $150 million. Greater detail on these southwest

Scott was
most recently responsible for the assemblage, development and delivery of Phoenix Regional Airport, a scratch-built,
privately held, public use airport facility located in Pinal County, Arizona. This $24 million, 430 acre aviation complex
is comprised of residential, light industrial and commercial subdivisions and features a 5,000-foot paved runway.
Mike Goering
Construction Operations Manager and Qualifying Party
The Construction arm of the development Team is led by Mike Goering of Airport Facilities Contracting, LLC, located
in Scottsdale, Arizona. Mike has over twenty-seven year’s tenure in construction management and property development,
having served with several of the premier builders and developers in both metropolitan Phoenix Arizona and San Diego California.
He has participated in the hands on development of over 2,000 new homes and 400 acres of onsite infrastructure in both Arizona
and California.
Mike has worked in the Phoenix area since receiving a Bachelor’s
degree in Economics from Northern Arizona University in 1977. He began his career in construction
with the Washington Construction Company as a purchasing manager. Following that he worked for Chanen
Construction Co. as a projects manager. Later he pursued an interest in residential development to eventually become
Sr. Project Manager for Gosnell Development Co., Arizona’s leading developer of mixed use and destination
resort/residential properties, and creator of Phoenix’s three award winning Pointe Resort Communities.
After twelve years serving with Gosnell’s operations in both Phoenix and San Diego markets, he became
Vice President of Construction Operations for Scottsdale’s premier developer of luxury communities, Monterey
Homes, Inc. After assisting with Monterey’s near doubling of volume in two years, Mike was
recruited by long-standing, affordable housing builder, Design Master Homes, to head up their construction
operations.
In 1995 he started Comanche
Builders LLC, contracting new custom homes for 3rd parties and the spec market. He also created a niche market
consulting to owner builders. As managing principal, he holds combined Arizona commercial and residential general contracting
licenses. In 2001 through
2004 Comanche Builders consulted for the Gosnell companies, on assignment at their San Diego mixed use resort
property, managing the construction of 2 multi family condominium and townhome projects totaling 383 units. From 2004 through present Mike has been actively building
under the Comanche Builders banner and with GVDC beginning at the developer’s Phoenix Regional Airport, continuing now
as a principal for AFC LLC.
Mike’s extensive experience and attention
to detail ensures GVDC projects are completed with the highest level of build quality, investment return

Ron L. Alto Strategic Planning and Business Development
Ron Alto serves as a senior business executive primarily focused in the Business Development and Strategic Planning arena, with extensive experience and contact base in the High Tech
Aerospace Industries in the U.S., Europe, Asia, and Latin America. Ron's extensive experience in Business Development,
Marketing, Strategic Planning, Sales, Customer Relationship Management and Executive Coaching is an added compliment to the GVDC
team. He has proven himself as an action catalyst, a clear-minded, process focused, organized, innovative professional
with the ability to combine the cross disciplinary capabilities of a team to positive end results; increasing revenues, delighting
customers and nurturing employees.
Mr. Alto has over 35 years of experience in the Aviation and Business Development arena, including 26 years at Honeywell
and General Electric. Mr. Alto also implemented successful Business Development and Customer Relationship campaigns
as vice president of global marketing for Catalytica and Cytec Industries. Previously, Mr. Alto was
employed at AlliedSignal/Honeywell from 1982 through 1998, where he served in various US and non-US senior level
roles including regional director for Australasia and director of government and commercial marketing, sales, service, as
well as director new business development. During his tenure at AlliedSignal/Honeywell, Mr. Alto was instrumental
in consistently executing revenue generating business ventures and process improvements in administration, engineering, marketing,
sales and the customer support areas.
Before joining
AlliedSignal/Honeywell, he held various managerial, sales, and engineering positions at General Electric,
Inc. from 1972 through 1981 receiving numerous awards and recognition. Ron has also worked in airport management, flight instruction,
was an officer in the US Air Force, and currently holds Commercial Pilot, Flight Instructor
and several other Flight Ratings.
Phillip W. Rosendahl Rosendahl Millett & Associates Professional Engineer/Registered Land Surveyor
Phillip W. Rosendahl has been actively engaged in
the practice of Civil Engineering and Land Surveying since 1976. Prior to that time he studied civil engineering and
received a Bachelors Degree in 1974. During his tenure as a student he learned enough about the profession of Land Surveying
to become a Registered Land Surveyor for the first time in 1972. Also, during that time he worked in the construction
industry with much diversity. Being responsible for layout of a coal fired power generation facility to operating heavy
equipment on highway construction and land development projects.
From these beginnings Rosendahl has been passionately
involved with Civil Engineering and Land Surveying. Applying his knowledge and skills to understanding project feasibility,
the design and approval processes for many diverse projects over his career, to the benefit of the clients that have depended
on him. His professional philosophy has always been that, “there is always a solution to every problem”
and he strives to find the solutions that make the most sense, practically and economically. Good common sense approaches
to every project coupled with a sound arsenal of problem solving tools facilitate comprehensive and efficient designs that
work.
Enjoyment of the interaction with clients, peers and people with ideas
and plans are the stimulus that continue to generate the enthusiasm and energy that is manifested in the results of his efforts.
Many endeavors over the years have produced great and lasting relationships as well as beautiful and successful land development
projects. Rosendahl has had his influence felt on the landscape of Sheridan, Casper, Kemmerer and Laramie Wyoming, in
the multiple residential, commercial and industrial projects. More recently in Arizona since 1989 his firm has completed
projects in Safford and Graham County, Yavapai County, the Phoenix Metropolitan Area and most recently two forward thinking
“green” land development projects in Cochise County, Arizona.

Mario Del Angel Professional Engineer - Mexico Civil Engineering
Mario Del Angel obtained his undergraduate Civil Engineering degree in Mexico
City and his masters degree in Grenoble, France. He is currently a licensed engineer in Mexico. He served as president of
the Civil Engineering Association for the state of Morelos, Mexico (350 members) from 1993 to 1994. Mr. Del Angel worked as
a Project Manager during 10 yrs for the planning of hydro electrical projects for CFE in Mexico. He has been involved in the
design and construction of master planned communities in Mexico for the last twenty years. Mr. Del Angel provided from 2004
till 2007 Permitting, Engineering and Construction Supervision services for the master plan community “Loreto Bay”
located in Loreto Baja California Sur Mexico.
Mr. Del Angel helped develop two residential projects “Klosters Sumiya” and “Los Celajes” in
Cuernavaca and Acapulco, Mexico respectively from 1992 till 1996. From 1997 till 1998 he participated in the planning, permitting
and development of Laguna del Mar, a master plan community in Rocky Point Mexico. In 2003 Mr. Del Angel ,along with three American partners,
bought 800 Ac of beach land located 50 miles NW of Rocky Point to develop a master plan community know as “Punta Delfin”.
In order to develop “Punta Delfin” Mr. Del Angel suggested to the Sonoran government the current alignment for
the new hwy located between Rocky Point and Sta Clara Sonora, Mexico next to the sea of Cortes. From 1999 till 2007 Mr. Del
Angel has been working in the Civil Engineering arena in different projects located in both the United States and in Mexico.
In 2004 Mr. Del Angel built a fourplex condo project in Rocky Point with a total investment of 700K USD.
Carlos E. Romo Architecture, Urban Planning, Real Estate Consulting and Appraising Romo Arquitectos / ArchONe With over 15 years of experience in the fields of architectural design,
construction and consulting for real estate appraising, development and management, Carlos Romo brings considerable expertise
and innovation into the areas of project coordination and documentation, as well as serving as local representative and intermediary
for projects in Mexico.
Mr. Romo is the principal for the firms Romo Arquitectos
and ArchONe, based in Hermosillo, Mexico, and is a graduate of the prestigious ITESM (Monterrey’s Institute for Technological
and Higher Studies), with master’s degrees in Business Administration and Real Estate Appraising.
Before establishing his own firms in 2002, Carlos served as senior associate for CD (Consultoria
y Diseño), one of the leading remote architectural services firms serving the southwestern US, and worked on a wide
diversity of residential, commercial and institutional projects including “The Village at Puerto Peñasco”
(DTLA, San Diego primary architect), “Gateway Community College” in Phoenix (Dick & Fritsche Design Group),
and award-winning DC Ranch multifamily residential projects for Whitneybell Architects, Phoenix. He is currently involved in the urban regeneration masterplan for Hermosillo’s historical district,
serves as consultant for the State of Sonora and the City of Hermosillo, and continues to participate in the development of
architectural and urban projects in joint-venture with Phoenix based firms, such as David W. Fulk Architecture and Smith-Brady
Design Group, among others.

Architecture, Master Planning, and Interior Design
is lead by David W. Fulk, Principal of the firm David W. Fulk Architecture, LLC. David
was Senior Designer with MOA Architecture in Denver, Colorado and Director of Architecture for Gage Davis Associates, Scottsdale,
Arizona, a firm known for the master planning of many resort communities around the globe. David, after
earning his master’s degree and teaching university level design courses, began his professional career designing universities,
civic, and resort projects in India, Mexico, Chile, and the U.S. In 1998, David founded David W. Fulk Architecture,
LLC with a philosophy to convey the vision of the clients with innovative and dynamic architecture that is not confined by
stylistic limits. David specializes in design for the desert climate, bringing broad and extensive knowledge of architectural
design, construction processes and materials, energy management and technology for desert buildings and residences. Each project
undertaken starts with an evaluation of the client’s needs and defining “What makes this client and project unique?” David has also developed a 10 year working relationship
with Mexican architecture firm, Romo Arquitectos Associado, collaborating on a vast array of projects constructed in the US.

David L. Brown Marketing and Sales Director/Investor Relations Manager
Marketing and Sales activity is managed by David Brown of Aerosail Marketing Group, LLC,
Detroit, Michigan. David brings twenty plus years of experience from both the publishing and real estate development fields.
An Industrial Engineering graduate of Western Michigan University, David has also obtained additional post-graduate training
in advertising and public relations, computer-aided design, and World Wide Web design and marketing. Mr. Brown helped develop
an innovative global marketing and sales program which led to the exposure and ultimate sale of Phoenix Regional Airport,
a 400+ acre, $24 million development in Pinal County, Arizona.
David works to develop and supervise all marketing activities for Grande Valley Development Corp. He works
under the chief executive officer to develop sales forecasts as well as advertising and promotional programs and pricing strategies.
David also directs the sales and marketing efforts of GVDC’s hand-picked
team of real estate marketing professionals of which includes Aviator Real Estate, Valencia, California, Sonoran
LifeStyle Real Estate, Scottsdale, Arizona and Tombstone Real Estate, Tombstone, Arizona.

David’s experience with innovative, cutting-edge technology uniquely positions him to spearhead all marketing activity
at Grande Valley Development Corp.
Thomas M. Kaye Chief Financial Analyst
Tom Kaye directs all aspects of financial planning and analysis for Grande Valley Development Corp, including long-range
planning, budget preparation, real estate asset evaluation and due diligence. Mr. Kaye oversees financial administration of
all development divisions: including land entitlement, real estate development, construction and marketing operations.
With formal education from Arizona State University,
Tom brings over fifteen years of financial and investment experience to the project. He is the Managing Member of US
Custom Investments, LLC, the development company for Bainbridge Homes and Cloverview Homes in Las Cruces,
New Mexico. Tom was also instrumental in the assemblage, entitlement and development of Phoenix Regional Airport, a
400+ acre, $24 million development in Pinal County, AZ.
Among
Tom's essential functions at GVDC: - Directs the preparation
of all reports to shareholders.
- Supervises preparation of budgets
in coordination with all division and project managers.
- Coordinates
long-range planning process for all divisions.
- Leads staff in compliance
with all applicable regulations and dealing with government regulators.
Jeff Farr Land and Community Planner Drifting Sands Designs
Land and Community
Planning is led by Mr. Jeff Farr of Drifting Sands Designs, Tempe, Arizona. Jeff has been planning properties in the Phoenix area
for the past 20 years. After graduating from the College of Architecture and Environmental Design at Arizona State University, Jeff began
his professional career working for the prestigious land planning firm G.
William Larson Associates in Fountain Hills, Arizona. While
there, Jeff worked on several up scale master planned communities including McDowell Mountain Ranch, Estancia and Grayhawk in Scottsdale, Arizona.
In 1997, Jeff started his own land planning firm and served
as project planner on several new master planned communities including Sycamore Farms and Marisol Ranch in Surprise, Arizona. Over the past 10 years, Jeff has planned a number of new residential and mixed
use developments in Casa Grande, Coolidge, Chandler, Buckeye, Carefree and Goodyear, Arizona.
